A license agreement should define the asset, use, territory, term and return.

List the brands, trademarks, copyright, designs, artwork or other assets, plus permitted products, markets, channels, territory and term.

Economics and reporting

Define lump sums, royalties, minimum guarantees, sales basis, reporting periods, payment and audit rights.

Brand and risk controls

Define quality guidelines, approvals, insurance, infringement response, breach, termination, remaining inventory and dispute resolution.
